About Runwal Enterprises

Runwal Enterprises is a Mumbai-focused real estate developer operating across residential, commercial, retail and institutional developments. The company’s residential portfolio spans affordable, mid-income and luxury housing, while its non-residential developments include offices, malls, retail spaces, schools, hospitals and town halls. Runwal Enterprises undertakes the full development cycle, from land identification and acquisition through planning, approvals, construction, marketing and sales. Originally incorporated as Propel Developers Private Limited in February 2016, it subsequently adopted the Runwal Enterprises name and converted into a public company in October 2024. As of March 31, 2026, the company had completed 19 projects, 28 were ongoing, and 33 were upcoming. These projects represented an aggregate developable area, including estimated developable area for upcoming projects, of 88.37 msf. Greenfield projects accounted for 83.57 million square feet (msf), or 94.56% of the portfolio. By completion status, completed projects represented 12.09 msf, ongoing projects 19.88 msf and upcoming projects 56.41 msf. Consequently, approximately 86.3% of portfolio area was either ongoing or upcoming, providing a sizable development pipeline but also creating execution, approval and funding requirements. Residential projects accounted for 74.58 msf, or 84.39% of total developable area, while the 13.80 msf non-residential portfolio represented 15.61%. Within residential real estate, the mid-income segment was the largest at 40.76 msf, followed by affordable housing at 30.38 msf and luxury housing at 3.43 msf. The company has historically focused on affordable and mid-income projects such as Runwal Gardens and Runwal Greens, but is extending its product mix into luxury developments including 7 Mahalaxmi and Girgaum. It is also expanding from Mumbai's eastern suburbs into Mahalaxmi, Girgaum and Bandra, and outside the Mumbai Metropolitan Region near Alibaug. The portfolio comprises both owned-land developments and relatively asset-light structures, including joint development agreements, development agreements and joint ventures. The company had developed or was developing 31.96 msf across residential, retail and commercial properties as of March 31, 2026. Operating momentum improved in FY26. Sales value rose to ₹2,353 crore from ₹1,899 crore in FY25, while sales volume increased to 2,182 units from 1,700 units and sales area rose to 2.07 msf from 1.62 msf. Gross collections increased to ₹1,854.61 crore from ₹1,556.23 crore, and launches increased to 2.06 msf from 1.10 msf. Average sale price moderated to ₹11,365 per square foot from ₹11,753 per square foot. The Runwal My City became a subsidiary on April 1, 2025. The Indian residential market recorded historically strong sales and launches in CY23-CY25, with Mumbai contributing approximately 23% of Indian residential sales value between CY23 and Q1 CY26. Mumbai residential sales value reached approximately ₹1,37,900 crore in CY25 and is projected to reach around ₹2,22,000 crore by CY28. RERA-led formalisation has increased transparency and contributed to consolidation towards established developers. Runwal's recognized brand, multi-segment product mix and Mumbai project pipeline provide a platform to participate in this formalisation; however, participation depends on timely launches, approvals, funding and sales conversion rather than market growth alone. The company's market position is concentrated in Mumbai. It ranked third by both new launches and sales in Mumbai between January 2023 and March 2026, with market shares of approximately 2.33% and 2.46%, respectively. It ranked first in sales in Mumbai's eastern suburbs, with an approximate 7.88% share, and first in launches and second in sales in Kalyan-Dombivli, with shares of approximately 11.41% and 6.33%. Projects such as Runwal Bliss, Runwal Gardens and Runwal My City support its presence in these submarkets. This positioning offers brand and execution advantages but leaves performance materially exposed to Mumbai's property cycle. Mumbai's metro expansion, coastal road network and Navi Mumbai airport are expected to improve connectivity between residential and employment centres. Runwal Gardens and Runwal My City in Dombivli are exposed to planned Metro Lines 5 and 12 and other road and rail links, while Runwal Bliss in Kanjurmarg may benefit from existing road and rail access and planned metro connectivity. The company's 56.41 msf upcoming pipeline gives it meaningful exposure to these infrastructure-led changes. That exposure is balanced by infrastructure completion risk, the high proportion of unlaunched areas and the continuing need to secure project approvals and buyer demand. Now, Runwal Enterprises Ltd is launching its initial public offering (IPO), which consists of a fresh issue of ₹500 crore. Its shares will be listed on the NSE and BSE. ### **How to apply for Runwal Enterprises IPO?** If you are interested in this investment opportunity but unsure how to apply for a Runwal Enterprises IPO, follow these steps. About Strength & Risks

Why this IPO looks interesting

Key positives investors may want to consider before applying.

01

Established Mumbai position

The company ranked third in Mumbai by both launches and sales between January 2023 and March 2026 and held stronger positions in the eastern suburbs and Kalyan-Dombivli.

02

Large visible development pipeline

The portfolio includes 19.88 msf of ongoing and 56.41 msf of upcoming projects across residential and non-residential formats.

03

Broad housing and asset mix

Affordable, mid-income and luxury residential projects are supplemented by commercial, retail and institutional developments, reducing dependence on a single ticket-size category, although residential projects remain dominant.

04

What investors should watch closely

Risk factors and possible pressure points around the offer.

01

Geographic concentration

Mumbai represented 66.6% of total developable area as of March 31, 2026; only two upcoming projects near Alibaug were outside Mumbai. Local demand, regulation and property-price weakness could therefore have a disproportionate effect.

02

Execution-heavy pipeline

Ongoing and upcoming projects constituted 86.3% of developable area. Approval delays, construction delays or cost overruns could affect cash flows, reputation and project economics.

Improving FY26 operating performance

Sales value increased 23.9%, unit sales increased 28.3%, and gross collections increased 19.17% in FY26, based on calculated growth from RHP data. EBITDA margin improved to 19.44%.

05

Flexible development structures

The use of JDAs, development agreements and joint ventures can provide access to redevelopment opportunities while moderating the upfront capital needed for outright land purchases.

06

Infrastructure-linked micro-markets

Exposure to Dombivli, Kanjurmarg and other Mumbai corridors positions parts of the portfolio around planned metro, road and airport improvements, subject to infrastructure delivery and project execution.

Inventory risk

The company had 7,072 unsold units representing 7.55 msf across completed and ongoing projects. Slower sales may increase interest and holding costs or require price reductions.

04

Leverage and capital intensity

Consolidated financial indebtedness was ₹2,909.13 crore at March 31, 2026, while debt/equity was 3.29x. Continued land acquisition and construction require access to debt, equity and internal accruals.

05

Negative operating cash flow

Operating cash flow was negative in FY24, FY25 and FY26, including an outflow of ₹180.71 crore in FY26, principally reflecting inventory and working-capital requirements.

06

Land-title and contingent-liability exposure

The title deficiencies and investigations affecting certain parcels, while contingent liabilities were ₹7,980.08 crore at March 31, 2026, including guarantees and disputed tax matters. Materialisation could affect liquidity and financial condition.
