About Bombay Coated Special Steels

Bombay Coated and Special Steels (BCSSL) operates as a steel processing centre, converting steel coils into processed products according to customer requirements. The company acts as a link between primary steel producers and end-users. Incorporated in 1983, the business entered steel processing in 2012 with the establishment of its Bhiwandi facility. In 2018, it entered into a service partnership agreement with JSW Steel Coated Products Limited (JSWSCPL). On January 29, 2021, BCSSL acquired the running business of M/s. Bombay Steels through a Business Transfer Agreement on a going-concern basis. Following the acquisition, the company expanded its operations across Western, Northern and Southern India. Its main operations include slitting, cut-to-length processing, shearing and embossing. These processes produce slit coils, embossed slit coils, blanks, embossed blanks and sheared blanks. The company primarily supplies Original Equipment Manufacturers (OEMs) and Original Design Manufacturers (ODMs). It processes coated and hot-rolled steel coils for the home and commercial appliances industry. In the general engineering segment, it processes non-coated and galvanised plain coils into blanks used in automotive applications, pharmaceutical cleanrooms, electrical equipment and ventilation systems. Apart from processing steel, the company provides logistics and inventory management services and arranges just-in-time deliveries. The company operates four manufacturing facilities located in Wada and Bhiwandi in Maharashtra, Ghiloth in Rajasthan, and Sri City in Andhra Pradesh. It has a combined operating area of 42,209 sq. m. across these facilities. All four facilities are ISO 9001:2015 certified. The Ghiloth and Sri City facilities are identified as GEM-4 certified green facilities, while another section mentions a GEM 5-Star rating. The manufacturing facilities are located close to the plants of key customers, including Western Refrigeration, Amber Enterprises, PG Technoplast, EPack Durable and Kruger Ventilation. Wada and Ghiloth together contributed 85.2% of revenue in FY26. BCSSL sources machinery from domestic manufacturers and suppliers in South Korea, Turkiye and China. Its slitting lines can process steel with widths ranging from 22 mm to 1,850 mm and thicknesses ranging from 0.25 mm to 3.20 mm. Its cut-to-length lines can handle widths ranging from 150 mm to 1,320 mm and thicknesses ranging from 0.25 mm to 5.50 mm. The company has expanded its annual installed capacity from 3,01,541 MTPA in FY24 to 3,50,411 MTPA in FY25 and further to 4,62,411 MTPA in FY26, representing a CAGR of 23.83% between FY24 and FY26. As of June 30, 2026, the company has an installed capacity of 1,23,153 MTPA. Despite capacity expansion, utilisation varied across processing lines in FY26. Slitting’s utilisation stood at 60.6%, cut-to-length at 58.7%, embossing at 46.6% and shearing at 59.8%. For Q1FY27, utilisation stood at 63.8% for slitting and 59.6% for cut-to-length. BCSSL served 261 customers in FY26 and 178 in Q1FY27, compared with 252 in FY25 and 225 in FY24. Its customer base includes Haier Appliances, IFB Refrigeration, Dixon Electro, Amber Enterprises, Western Refrigeration, PG Technoplast, EPack Durable and Kruger Ventilation. Repeat customers accounted for 96.1% of revenue in FY26 and 98.1% in Q1FY27. ODMs accounted for 55.9% of revenue in FY26, while OEMs contributed 43.2%. The company’s largest end-use market was the home and commercial appliances sector, which was 86.54% of revenue in FY26. The air conditioner was 46.8% of revenue in FY26, followed by commercial refrigeration at 22.3% and home refrigeration at 15.6%. The remainder consisted of general engineering at 13.4%. The company also has high customer concentration. Amber Enterprises, the largest client, accounted for 20.4% of revenue in FY26. The top five customers contributed 55.4% of revenue, and the top ten contributed 71.3% in FY26. BCSSL has maintained a service partnership with JSW Steel Coated Products Limited since 2018, with the company identifying itself as an authorised service partner since 2021. JSWSCPL supplies galvanised plain, colour-coated and galvalume steel coils. The steel-processing-centre industry provides customised processing, storage and distribution between steel mills and end-users. The Indian market is valued at $8.2 billion in CY25 and is projected to reach $12.4 billion by CY30, with a stated 8.6% CAGR over CY26–CY30. Demand is linked to manufacturing, construction and infrastructure activity, together with greater adoption of outsourced processing and just-in-time supply. Within this industry, the Indian cut-to-length services are expected to reach $2,337 million and slitting services $2,095 million by CY30, with CY26–CY30 CAGRs of 6.8% and 7.2%, respectively. Growth drivers include customised steel requirements and expanding consumer-appliance manufacturing. These market projections indicate scope for growth in the processing services offered by BCSSL. BCSSL plans to expand its presence in water heaters, washing machines, automotive applications and general engineering. The Company plans to install an additional cut-to-length line at its Ghiloth facility. It has also purchased an adjoining plot measuring 11,250 sq. m. for ₹11.69 crore under a sale deed, which could increase processing capacity and support customer demand in the region. It also plans to purchase equipment currently leased from Siemens Financial Services for its Ghiloth facility. It intends to improve production yields, optimise inventory, pursue lean manufacturing and introduce automation where appropriate. These measures could help control operating costs and improve asset utilisation as production volumes increase. Now, Bombay Coated & Special Steels Ltd is launching its Initial public offering (IPO), which consists of a fresh issue of ₹183.00 crore. Its shares will be listed on the NSE and BSE.

About Strength & Risks

Why this IPO looks interesting

Key positives investors may want to consider before applying.

01

Authorised partnership with JSWSCPL

BCSSL has been an authorised service partner of JSW Steel Coated Products Limited since 2021. JSWSCPL supplies galvanised, colour-coated and galvalume coils and provides technical assistance and joint quality control support

02

Long-standing OEM and ODM relationships

Repeat customers accounted for 96.08% of FY26, with a leading customer base such as Haier, IFB, Dixon, Amber Enterprises and Western Refrigeration.

03

Strategically located manufacturing network

BCSSL has four facilities in Maharashtra, Rajasthan and Andhra Pradesh, located close to customer manufacturing clusters in Western, Northern and Southern India; reduces transit time and freight costs, and facilitates just-in-time deliveries.

04

Integrated processing infrastructure

The Company has slitting, cut-to-length, shearing and embossing lines with equipment from domestic manufacturers and suppliers in South Korea, Turkiye and China. All four sites are ISO 9001:2015 certified for consistent product quality.

05

Rapid capacity expansion

The installed capacity has grown from 3,01,541 MTPA in FY24 to 4,62,411 MTPA in FY26, at a CAGR of 23.8%. This expansion provides BCSSL with more capacity to meet rising customer demand.

06

Strong revenue growth

Revenue from operations grew from ₹755.26 crore in FY24 to ₹1,266.82 crore in FY26, a growth of 67.7%. PAT also increased from ₹21.14 crore to ₹30.54 crore during the same period.

07

High entry barriers

New entrants must build processing infrastructure and conduct customer qualification audits and technical approvals. This takes three to six months. These requirements create barriers to market entry and sustain customer relationships for incumbent suppliers.

08

Improving leverage profile

The debt-to-equity ratio is better at 2x as of June 30, 2026 compared to 2.78x in FY26 and 4.31x in FY24. BCSSL also intends to use ₹125.00 crore from the IPO proceeds to repay or pre-pay borrowings.

What investors should watch closely

Risk factors and possible pressure points around the offer.

01

High supplier dependence and contractual restrictions

JSW accounted for 86.6% of steel-coil procurement in FY26 and 85.13% in the June 2026 quarter. Restrictions on alternative sourcing, absence of exclusive territorial rights and termination provisions could affect supply continuity, bargaining power and customer servicing.

02

Customer concentration without purchase commitments

The top ten customers generated 71.3% of FY26 revenue and 73.5% in the June 2026 quarter. Customers are not contractually obliged to maintain long-term purchasing volumes, making order reductions or cancellations a material revenue risk.

03

Steel price movements impact margin pressure

Raw materials and components used accounted for 90.5% of total expenses for FY26. Procurement-price changes and customer-price adjustments may not occur simultaneously, and passing through higher costs could affect demand.

04

Working capital needs and leverage

FY26 operating cash flow was ₹10.22 crore compared to PAT of ₹30.54 crore. In FY26, inventory increase absorbed ₹73.60 crore cash. Debt-to-equity was 2x as of June 30, 2026, before the IPO. Operating cash flow improved to ₹72.31 crore in Q1FY27, but cash generation remains sensitive to inventory and receivable movements.

05

Concentration in the appliance sector and seasonality

Home and commercial appliances accounted for 86.54% of FY26 revenue and 89.93% of June 2026 quarter revenue. Demand is driven by customer production schedules and seasonal appliance purchases, exposing the company to fluctuations in order volumes, sales volumes and capacity utilisation.
